RULES

 


1. Name
1.1 The name of the club is Club di Londra ("the Club").



2. Objects
2.1 The objects of the Club are the exchange and promotion of cultural, business and economic initiatives between its members and their guests in a sociable environment benefiting from the advantages and activities of the club.


3. Members’ Liability
3.1 The members of the Club are under no financial liability by reason of their membership of the Club save the annual membership fee which is determined by the General Committee.



4. Officers
4.1 The officers of the Club are the President, Vice President, the Treasurer and the Secretary.
4.2 The officers of the club are appointed by the General Committee who may remove any officer from his office at any time.



5. General Committee
5.1 The General Committee must exercise the powers given to it by these rules and such other powers of management as it may from time to time undertake at the request of the President 



6. Constitution of the General Committee
6.1 The General Committee consists of:-
6.1.1 the President,
6.1.2 the Vice President
6.1.3 the Treasurer
6.1.4 the Secretary and not more than four members elected at the General Meeting of the Club ("the Elected Members")
6.2 The General Committee members must all retire every three years but are eligible for re-election.



7. Control and management
7.1 The General Committee has all administrative powers necessary to carry out the objects of the Club in accordance with these rules.



8. The President and the vice President
8.1 The President, or in his absence the vice President, will chair all the Meetings of the club.



9. General Committee Meetings
9.1 The General Committee must meet at least two times a year.



10. Treasurer
10.1 The treasurer must keep an account of  receipts and the manner in which those receipts are expended and must make available a statement of the account for each year.



11. Secretary and Secretariat
11.1 The secretary must help the President in organizing the events.
11.2 He must keep full and correct minutes of all proceedings of the Club and of the General Committee which must be open to the inspection of any member of the Club on application to the President.
11.3 The operative secretariat of the Club is C/O the Chamber of Commerce.



12.A Memberships
12.A.1 Membership shall consist mainly of resident members who shall be admitted subject to approval by the General Committee.
12.A.2 Overseas members to be persons resident overseas, may be members but if they have frequent contact with London.
12.A.3 Members are entitled to equal voting rights at General Meetings of the Club.
12.A.4. Subscriptions are due on acceptance as a member and subsequently on in each year.
12.A.5 Honorary Members nominated by General Committee will not pay any membership.
12.A.6 When an accepted candidate has paid his first annual subscription, he is a member of the Club and entitled to all the privileges of membership and is deemed to have agreed to be bound by these rules.
12.7 The General Committee may terminate the membership of any member whose subscription is more than three month in arrears.
12.8 The name of a member whose membership is terminated will be removed from the list of registered members and he will immediately cease to be a member of the Club and forfeit all rights of membership.
12.B Foreign Clubs
12.B.1The Club through the General Committee can from time to time agree an appropriate link with a Club having similar objects both in England and abroad on terms to be agreed by the General Committee, such first link having already been established with Gruppo Esponenti Italiani of New York.



13. Rights and liabilities of members
Every member of the Club (subject to these rules and the bye-laws for the time being in force) is entitled to use and enjoy (in common with other members of the Club) the actitivies provided by the General Committee on such terms and conditions as to payment or otherwise as the General Committee may from time to time stipulate.



14. Byelaws
14.1 The General Committee may from time to time with the approval of the President make, vary and revoke byelaws (not inconsistent with these rules) for the regulation of the internal affairs of the Club and the conduct of members.
14.2 Until revoked all byelaws are binding on the members.



15. Conduct of members
15.1 A member may resign his membership at any time by letter delivered to the President.
15.2 The President after consultation with the General Committee may expel from the Club (or suspend from membership for a specific period) any member whose conduct, in the opinion of the President, might be injurious to the character or interests of the Club or render him unfit to associate with members of the Club.
15.3 Before a member is expelled or suspended, the alleged offender's conduct must be inquired into and the person involved must be given the opportunity to defend himself and to justify or explain his behaviour.
15.4 Having inquired into the events, if the President is of the opinion that the member is guilty of such conduct as mentioned above and has failed to justify or explain it satisfactorily, he may either expel or suspend the offender at his discretion.
15.5 A member expelled forfeits all the privileges of membership without claim for any refund of subscription.



16. Annual and special General Meetings
16.1 General Meeting must be held at least every three years for the election of members to serve on the General Committee or for other matters which require the approval of the majority of the members. 
16.2 General Meetings may be convened by the President or the General Committee or on written requisition to the secretary signed by at least 40 members or [20%] of the Elected Members, whichever is the lesser.
16.3 At least 14 days' notice of a meeting specifying the business to be transacted and the place and hour of the meeting must be given to members in writing.
16.4 For a General Meeting of the Club every member must be informed. In case of equality of votes the chairman may have a second or casting vote.
16.5 The President may nominate the person who is to chair a General Meeting.
16.6 For the election of the General Committee also an election by post can be allowed, provided that the electoral letters will be convalidated and scrutinized by at least four members of the General Committee in charge.



17. Addresses of members and notices
17.1 Each member must inform the secretary of his address and of any change of address.
17.2 Notices required by these rules and byelaws to be given to members may be given either by letter addressed to a member at the last address he furnished to the secretary.



18. Alteration of rules
18.1 T hese rules may be revoked, supplemented or altered by the General Committee provided that in the case of any revocation, supplementation or alteration of these rules that:
18.2 would enable it to terminate membership or to suspend members otherwise than in accordance with rules 15.2 and 16;
18.3 alters the objects of the Club or he must have the consent of the Club given by a resolution passed at a general meeting by a majority of two/thirds at least of the members present and voting.



19. Dissolution
19.1 The Club may be dissolved by the members in general meeting pursuant to a resolution passed at such general meeting by a majority of three/quarters of the members present and voting.
19.2 No resolution to dissolve the club may be considered in general meeting unless a proposal for the resolution has been submitted to the secretary in writing and signed by at least 40 members of the Club at least 21 days before the date of the meeting.



20. Disputes
Any dispute or difference which may arise as to the meaning or interpretation of these rules or of any bye-laws made in accordance with rule 14 or as to the powers of the officers or General Committee or the validity of any election or proceedings of the General Committee will be determined by the President, whose decision is final and binding on all members of the Club.



21. Interpretation
In these rules:-
21.1 references to the masculine include the feminine and where appropriate the singular the plural and the headings are for ease of reference only and are not to be taken into account in their interpretation.
